Members have a wealth of experience in contentious areas of company
law such as shareholder disputes involving just and equitable winding
up, section 459 petitions, and issues involving directors' or other
officers' duties and powers, including claims for breach of fiduciary
duty and conflicts of interest. Members advise and draft documents
on mergers and acquisitions; corporate reconstructions (including
reductions, retention and restructuring of capital); fixed and floating
charges (including their validity and priority); shareholders' agreements;
share valuations; general meetings and resolutions; dividend payments;
and corporate management.
We have substantial experience of many regulatory aspects of company
law, including participating in investigations under section 447
of the Companies Act 1985, and drafting and advising upon the reports
and affidavits based on the results of the investigations. Members
have also been involved in public interest petitions under section
124A of the Insolvency Act 1986.
Members have experience of company disputes in a number of different
overseas jurisdictions including the USA and the Channel Islands.
Members of Chambers also regularly appear in company directors'
disqualification proceedings.
